FREQUENTLY ASKED QUESTIONS

The role of a director is to be legally responsible for running the company and making sure statutory information is submitted to the Companies House on time.
  • Their role: The shareholders of a limited company effectively own the company. If the directors wish to make any changes to the way the company is run, the approval of the shareholders is usually required.
  • Legal requirements: Each limited company must have at least one shareholder. There is no maximum number of shareholders that a company can have
  • Shareholders and their shares: There is no limit to the maximum number of issued shares that any one individual can hold. In the case of many smaller companies, one shareholder would hold 100% of the issued share capital.
In the UK, by law every company is required to have a registered business address. This must be a physical address rather than, for example, a PO Box or similarly non-locatable building. Your registered company address must appear on almost every document or media content that your company produces.

Every year, your company is required to file a company confirmation statement at Companies House. This document verifies the information that Companies House holds about the company’s directors, company secretary, registered office , share capital and its shareholders including persons with significant control.

Legally this statement must be filed every year even if none of the company’s information has changed, or if the company is dormant.

At the time of incorporation, all officers of a company must provide both their home address and a service address. These addresses can be one and the same. Legally, unlike the company’s registered office address , officers’ home addresses and service addresses do not need to be based in the UK.

A director service address helps company officers maintain separation between personal and company-related activities and is a perfect option for company officers who prefer not to use their personal addresses for correspondence from Companies House, banks the general public, or marketing companies.
